Terms of Service

Effective date: September 25, 2026 · Version: 1.0

These Terms of Service (the "Terms") govern use of the Google Sheets Connector for monday.com (also listed as Google Sheets Integration for monday.com; the "App"), provided by Lupo Digital Ltd., trading as LupApps ("LupApps", "we", "us"), Haprahim 48, Ra'anana, Israel.

By installing the App from the monday.com marketplace, or by using it, you agree to these Terms on behalf of the organization that owns the monday.com account in which the App is installed (the "Customer", "you"). If you install the App for an organization, you confirm that you have authority to bind it. If you do not agree, do not install or use the App.

These Terms cover organizational and individual use of the App. Use of the lupapps.io website is governed separately by our Website Terms and Conditions.

1. Definitions

2. The Service

2.1 What the App does. The App moves data between monday.com boards and Google Sheets: exports of items, boards and views to sheets; imports from sheets to boards; automations built with monday.com recipes that run when board events occur; and Data Sync configurations that keep a board and a sheet aligned, manually or on a schedule.

2.2 Platform dependency. The App works only through the monday.com and Google APIs, under authorizations that your Authorized Users grant. Changes, outages, quotas or restrictions on those Platforms can affect the App. We are not responsible for the Platforms themselves.

2.3 Changes to the App. We may improve, add, change or retire features. If a change materially reduces the functionality of a paid Plan, we will give notice through the App, the marketplace listing or email at least 30 days before it takes effect, unless the change is required by law or by a Platform.

3. Accounts, Authorized Users and Access

3.1 Installation. An administrator of your monday.com account installs the App and grants the monday.com permissions listed on the App's marketplace listing. You control which workspaces and boards the App can reach through monday.com's own permission settings.

3.2 Google accounts. Each Authorized User connects their own Google account and grants the Google permissions listed in the Privacy Policy. A user may revoke that access at any time from their Google account permissions page or from the App's Google accounts screen.

3.3 Your responsibilities. You are responsible for the acts and omissions of your Authorized Users; for keeping your monday.com and Google credentials secure; for making sure your users are entitled to access the boards and sheets they connect; and for configuring the App (mappings, schedules, conflict rules) correctly. The App writes data where you tell it to. Review a configuration before enabling it on production data.

3.4 Eligibility. You must be at least 18 years old and able to enter a binding contract. The App is intended for business use.

4. Plans, Trial, Fees and Billing

4.1 Marketplace billing. Plans are purchased, billed, upgraded, downgraded and cancelled exclusively through the monday.com marketplace. monday.com processes payment and issues invoices, and monday.com's Marketplace Terms of Service and refund policy apply to those transactions. LupApps does not receive or store your payment details.

4.2 Trial. New installations receive a free trial (currently 14 days) with the limits shown on the listing. When the trial ends, the account moves to the free Plan limits unless a paid Plan is purchased.

4.3 Plan limits. Each Plan carries usage limits (for example monthly automation runs, connected sheets, Data Sync rows and scheduled syncs). When a limit is reached, the App pauses the affected automations or syncs and notifies your users in monday.com until the period resets or the Plan is upgraded. Limits are described on the listing and may be updated with notice under section 2.3.

4.4 Price changes. Changes to Plan prices take effect at your next renewal and only after at least 30 days' notice through the marketplace or by email.

4.5 Cancellation. You may cancel at any time from the monday.com marketplace. Access continues to the end of the paid period. Refunds, if any, are governed by monday.com's marketplace policy.

4.6 Taxes. Prices exclude taxes. monday.com applies any tax due at checkout.

5. Customer Data

5.1 Ownership. You own your Customer Data. Nothing in these Terms transfers any right in it to LupApps.

5.2 Our licence. You grant LupApps a limited, non-exclusive licence to access, transmit and process Customer Data solely to provide, secure, support and improve the App as configured by you, and as otherwise permitted by the Privacy Policy.

5.3 What we keep. During an export, import or sync, the App reads board items and sheet rows and passes them between the Platforms. It does not keep copies of board item content or sheet cell values. It stores only the records needed to operate the App: your monday.com account ID and name, Authorized Users' email addresses and Google account identifiers, OAuth tokens, board-to-sheet and column mappings, schedules, and run status records. Full details are in the Privacy Policy.

5.4 No sale, no advertising, no AI training. We do not sell Customer Data, use it for advertising, or use it to train machine-learning models.

5.5 Google API data. The App's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

5.6 Your obligations. You are responsible for the lawfulness of the Customer Data you process with the App, including obtaining any consents required and complying with the terms of the Platforms. The App is a general-purpose data-transfer tool. Do not use it to process data that requires a specific regulatory agreement (such as a Business Associate Agreement under HIPAA, or payment card data) unless LupApps has agreed to that in writing.

5.7 Deletion. On uninstall, the App revokes and deletes its monday.com tokens and deletes its Google tokens, and no further access is possible. Configuration records are kept so that you can reinstall without rebuilding. On request to support@lupapps.io we delete all Customer Data within 30 days, except records we must keep by law.

6. Data Processing Terms

This section applies where Customer Data includes personal data and LupApps processes it on your behalf. It serves as the parties' data processing terms. Where the Customer requires a separately signed Data Processing Agreement, LupApps will enter into one, and the signed agreement will prevail over this section for its subject matter.

6.1 Roles and details. You are the controller (or a processor acting for your own customers) and LupApps is your processor. Subject matter: operation of the App. Duration: the term of these Terms. Nature and purpose: transfer and synchronisation of data between monday.com and Google Sheets as configured by you. Data subjects: your Authorized Users and the individuals whose data appears in the boards and sheets you connect. Categories of data: the data you choose to place in those boards and sheets, plus user account identifiers and email addresses.

6.2 Instructions. LupApps processes personal data only on your documented instructions, which are these Terms, the Privacy Policy and the configurations your users set in the App, unless required by law to do otherwise, in which case we inform you first where the law allows.

6.3 Confidentiality. Persons authorised by LupApps to process personal data are bound by confidentiality obligations.

6.4 Security. LupApps maintains technical and organisational measures appropriate to the risk, including encryption in transit (TLS 1.2 or higher, with HSTS) and at rest; OAuth-based access with no storage of user passwords; production access limited to named staff protected by multi-factor authentication; least-privilege API scopes; logging and monitoring; and an annual independent security assessment under Google's Cloud Application Security Assessment (CASA) programme, Tier 2. A summary of measures is in the Privacy Policy. The current CASA Letter of Validation is available on request.

6.5 Subprocessors. You authorise LupApps to use the subprocessors listed in the Privacy Policy, currently DigitalOcean (hosting, databases and backups in Frankfurt, Germany), Better Stack (log management), Klaviyo (service email), Crisp (in-app support chat), Google Workspace (support mailbox), and the Platforms themselves. We give at least 14 days' notice before adding or replacing a subprocessor by updating the Privacy Policy and, for paid Plans, by email to the installing administrator. You may object on reasonable data-protection grounds; if we cannot resolve the objection, you may terminate under section 12 without penalty.

6.6 International transfers. Customer Data is hosted in the European Union. Where personal data originating in the EU/EEA, the United Kingdom or Switzerland is transferred to a third country (for example to Israel, which holds an EU adequacy decision, or to a subprocessor in the United States), the transfer is made under an appropriate safeguard such as an adequacy decision, the EU–US Data Privacy Framework or the EU Standard Contractual Clauses.

6.7 Assistance. Taking into account the nature of the processing, LupApps assists you with data-subject requests, security obligations and, where required, data-protection impact assessments, to the extent the relevant information is in our possession.

6.8 Security incidents. If LupApps becomes aware of a personal-data breach affecting Customer Data, we notify the installing account's administrator contact by email without undue delay and no later than 72 hours after confirming it, describing what happened, the data and users affected, and the steps taken and recommended.

6.9 Deletion and return. On termination, LupApps deletes personal data as described in section 5.7. Configuration records can be exported on request before deletion.

6.10 Audit. On written request, no more than once per year, LupApps provides the information reasonably necessary to demonstrate compliance with this section, including the current CASA Letter of Validation and a description of security measures. Where that is insufficient to meet a legal requirement, the parties agree in good faith on a reasonable audit scope, timing and confidentiality terms.

7. Acceptable Use

You must not: (a) use the App to violate law, the rights of others or the terms of the Platforms; (b) attempt to access data, boards, sheets or accounts you are not authorised to access; (c) circumvent Plan limits, rate limits or security controls; (d) reverse-engineer, copy, modify or create derivative works of the App, except where law permits; (e) resell the App or provide it to third parties as a service; (f) introduce malicious code or interfere with the App's operation; or (g) use the App to send unsolicited communications.

8. Intellectual Property

The App, including its software, recipes, interfaces, documentation and branding, is owned by LupApps and its licensors and is protected by intellectual-property law. These Terms give you a limited, non-exclusive, non-transferable right to use the App during the term, according to your Plan. If you send us feedback or suggestions, you grant LupApps a perpetual, royalty-free licence to use them without obligation to you. monday.com and Google names and marks belong to their respective owners. LupApps is an independent developer and is not affiliated with Google or monday.com.

9. Availability, Support and Maintenance

9.1 Availability. We use commercially reasonable efforts to keep the App available at all times and monitor it continuously. We do not promise uninterrupted service. Planned maintenance is scheduled outside common business hours where possible, and the App queues and retries automations affected by short interruptions.

9.2 Support. Support is available by email at support@lupapps.io and through the in-app chat, in English, on Israeli business days (Sunday to Thursday). We aim to respond within one business day. Enterprise Plan customers may agree priority support and additional commitments with LupApps in writing.

9.3 Third-party limits. Google and monday.com apply their own API quotas and rate limits. The App respects them and retries when they are reached, so large exports or imports may take longer than usual.

10. Warranties and Disclaimers

Each party warrants that it has the authority to enter into these Terms. Except as expressly stated in these Terms, the App is provided "as is" and "as available", and LupApps disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. LupApps does not warrant that the App will be error-free or that it will meet your requirements, and is not responsible for Customer Data that you or your users configure the App to overwrite, move or delete. Keep backups of important sheets and boards.

11. Limitation of Liability

11.1 Exclusions. To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising out of or related to these Terms, however caused.

11.2 Cap. LupApps' total liability arising out of or related to these Terms in any 12-month period will not exceed the fees you paid for the App through the monday.com marketplace in the 12 months before the event giving rise to the claim (or USD 100 for free Plans).

11.3 Carve-outs. These limits do not apply to a party's liability for gross negligence, wilful misconduct or breach of confidentiality, or to any liability that cannot be limited by law.

12. Term, Suspension and Termination

12.1 Term. These Terms apply from installation until the App is uninstalled from your monday.com account.

12.2 Termination by you. Uninstall the App at any time from monday.com. Paid Plans are cancelled through the marketplace under section 4.5.

12.3 Suspension and termination by LupApps. We may suspend or terminate access if you materially breach these Terms and do not cure within 14 days of notice; if your use creates a security or legal risk; if a Platform requires it; or if LupApps discontinues the App, with at least 60 days' notice for paid Plans and a pro-rata refund of prepaid fees through the marketplace where available.

12.4 Effect. On termination, access ends and data is deleted as described in section 5.7. Sections 5, 6, 8, 10, 11, 14 and 15 survive termination.

13. Changes to these Terms

We may update these Terms. For material changes we give at least 30 days' notice through the App, the marketplace listing or email to the installing administrator. Continued use after the effective date constitutes acceptance. If you do not agree, uninstall the App before the change takes effect.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The parties will first try to resolve any dispute amicably within 30 days of written notice. Failing that, the competent courts of Tel Aviv-Jaffa, Israel have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. General

15.1 Entire agreement and precedence. These Terms, the Privacy Policy and your Plan selection on the monday.com marketplace form the entire agreement between you and LupApps about the App. If a separately signed agreement (such as a Data Processing Agreement or an Enterprise agreement) conflicts with these Terms, the signed agreement prevails for its subject matter. monday.com's Marketplace Terms of Service govern your relationship with monday.com.

15.2 Assignment. You may not assign these Terms without our written consent. LupApps may assign them to a successor of its business.

15.3 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including Platform outages.

15.4 Notices. Notices to LupApps go to support@lupapps.io. Notices to you go to the installing administrator's email address or through the App.

15.5 Severability and waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.

15.6 Independent parties. The parties are independent contractors.
